Where we operate

Global assets, local rules.

Assets, issuers and investors on ACAN can be in different countries, and each follows the rules of the place it is in. Here is where Arrabon works, who can invest, and the basics of the US rules most offerings use.

Three sets of rules

The asset, the offering and the investor.

Every investment on ACAN touches three places, and the rules of each one apply.

Where the asset is

Title, registration and ownership follow the law of the place the asset sits. A digital deed on ACAN supplements the legal title that local law requires. It does not replace it.

Where it is offered

Each offering is made by a licensed issuer under the securities rules of the places it is offered in, and only to investors who are eligible there.

Where you live

Your eligibility, identity checks and taxes follow the rules where you live. Some offerings will not be open to you, depending on where that is.

Our network

Where assets are held and issued.

Arrabon does not hold assets or issue securities. Licensed partners do, in these places.

Where an asset is held or issued is not the same as where you can invest from. That depends on each offering and the rules where you live. We add places as new partners are confirmed.

Who can invest

It depends on where you live and who you are.

United States

Accredited investors

Individuals and entities that meet the SEC's accredited investor tests can invest in offerings made under Regulation D, after their status is confirmed.

Investors who are not accredited

Offerings limited to accredited investors are not open to you. Some issuers that use ACAN also offer products open to investors who are not accredited, under their own licenses and rules. Arrabon does not issue them, and whether one is open to you depends on the product and where you live.

Outside the US

Individual investors

Offerings are made under Regulation S and the rules of your own country, which often have their own test for professional, qualified or high-net-worth investors.

Anywhere

Institutions and family offices

Banks, funds, family offices and other institutions can invest where they qualify under the rules that apply to them, in the US or elsewhere.

Talk to us

Every investor completes identity and sanctions checks once, and each offering shows who can invest before you commit.

The basics

Regulation D and Regulation S.

Most offerings on ACAN are made under one or both of these US rules. In short:

In the United States

Regulation D

  • Lets a company sell securities privately in the United States without registering the offering with the SEC.
  • Under Rule 506(b), offerings cannot be advertised. They are sold to accredited investors, plus up to 35 others who have the knowledge and experience to judge the risks.
  • Under Rule 506(c), offerings can be advertised, but every investor must be accredited and verified.
  • The issuer files a short notice, Form D, with the SEC.
  • The securities are restricted, so they can be resold only under an exemption, which often means a holding period.
Outside the United States

Regulation S

  • Covers offers and sales made outside the United States, which do not need SEC registration.
  • The offering cannot be marketed into the United States.
  • For a set period after the offering, from 40 days to a year depending on the security, it cannot be sold to US persons.
  • Your own country's securities rules still apply, and may limit who can invest.

Offerings may also follow other countries' rules. Each offering's documents say which rules it follows and what they mean for you.

Questions

What people ask.

Can I list an asset that is outside the US?

Yes. We review assets wherever they are. Each needs title and documents that hold up under local law, independent experts who can inspect it there, and storage or management suited to it. Tell us about the asset and where it is.

Which countries can invest?

That depends on each offering and the rules where you live. Investor access opens in stages, so not every country will be open at first. Join the investor list and we will confirm what is open to you before you invest.

Where are you not available?

We do not serve people or entities in sanctioned countries or on sanctions lists, or anywhere the law prohibits our services. Every user goes through identity and sanctions checks.

Does Arrabon issue the securities?

No. Offerings are made by licensed issuers, through their own offering documents. Regulated activity such as issuance, lending, custody and insurance runs through partners who hold their own licenses.

Which law governs my use of the site?

Our Terms of Service are governed by Delaware law. Each offering has its own documents, which set out the law that governs it.
